Introduction

Welcome to the Terms of Use of Our website, https://miba.mt/ (the “Website”). This Website is owned and managed by Trade Malta Limited, a private limited liability company registered under the laws of Malta, having company registration number C-67993 and its registered address situated at The Clock Tower, Level 1, Tigne Point, Sliema TP01, Malta (“TradeMalta”, the “Company”, “We”, “Us”, or “Our”).

This Website serves to assist in hosting the Malta International Business Awards (the ‘MIBA’), allowing for the submission of applications, the listing of the applicable rules and regulations of the MIBA and as a platform to formally recognise and showcase Maltese businesses’ achievements, and thereby allowing for the recognition of the efforts of Malta based businesses trading internationally.

TradeMalta is a public-private partnership with the Government of Malta, currently under the remit of the Ministry for Foreign and European Affairs and Trade, and the Malta Chamber of Commerce, Enterprise and Industry.

Accordingly, TradeMalta is dedicated to help Malta-based businesses to go international and provides the following services to individuals and legal persons, such as companies:

  • Financial Support: TradeMalta is dedicated to helping Malta-based businesses go international and provides a range of services to individuals and legal persons, such as companies. Participation in the Malta International Business Awards (MIBA) is open to any company involved in export that meets the competition criteria, regardless of whether or not it has previously made use of TradeMalta’s services.
  • Trade Information Services: TradeMalta supports companies with market research by providing market data, information, analysis, and reports. Additionally, businesses receive free access to advanced market analysis tools.
  • Capacity Building: TradeMalta delivers specialized training programmes, webinars, podcasts, and online courses, all designed to enhance the skills and knowledge necessary for successful international trade.
  • Trade Promotion: To help businesses expand their reach, TradeMalta organizes business missions, participates in international expos, and hosts networking events. Furthermore, provides a comprehensive platform connecting local companies to potential business partners.

That through the MIBA Website, TradeMalta together with its strategic partners intends to promote businesses both on a local and international scale, and to provide relevant feedback to the applicants thereto.

The abovementioned services, along with any other services that may be determined as relevant to the particular client, shall hereafter be referred to as the “TradeMalta Services”.

General Terms of Use

The provisions of these Terms of Use govern the entry, access, connection to or use of Our Website by any users (the “user/s”, “you”, or “yours”).

For the avoidance of doubt, any reference in these Terms of Use, the term to ‘use’ shall refer to any sort of use of the Website, inclusive of simple entry, access or connection to the same website. These Terms of Use form a legally binding agreement between Us and the user, and therefore you should take the time to read them carefully. By entering, accessing, connecting to or using this Website in any manner, you are deemed to have read, understood and agreed to these Terms of Use.

These Terms of Use therefore apply to users of the MIBA website. If you do not agree to be bound by the Terms of Use, please refrain from using Our Website.

Acceptable Use

When accessing or using the Website, you agree that you will not violate any law, contract, intellectual property or other rights, and that you are solely responsible for your own conduct. Without limiting the generality of the foregoing, you agree that you will not:

  1. Use the Website in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Website, or that could damage, disable, overburden or impair the functioning of the Website in any manner;
  2. Use the Website to fund, support, or otherwise engage in any illegal gambling activities, fraud, money laundering or terrorist activities or other illegal activities;
  3. Without our prior written consent, use of any robot, spider, crawler, scraper or other automated means or interface not provided by Us, to access the Website or to extract data or information therefrom;
  4. Without Our prior written consent, reproduce, copy, distribute or in any manner use this Website or any part thereof, for commercial purposes;
  5. Without Our prior written consent, develop any third-party applications that interact with Our Website;
  6. Transmit, or attempt to transmit, any malware, virus, trojan, worm, timebot, cancelbot, corrupted file or other kind of malicious software or code to the Website;
  7. Breach, or attempt to breach, any of the security measures imposed by TradeMalta on this Website;
  8. Attempt to circumvent any content-filtering techniques We may employ, or attempt to access any service or area of Our Website or TradeMalta Services that you are not authorised to access;
  9. Encourage or induce any third party to engage in any of the activities prohibited under this section entitled ‘Acceptable Use’.
  10. Provide false, inaccurate or misleading information;
  11. Annoy, harass, threaten, intimidate or molest any TradeMalta employee assisting you;
  12. Needlessly annoy, harass, threaten, intimidate or otherwise hamper any of the Companies listed on this Website or their employees;
  13. Use the Website to cause any form of damage or disrepute to Us;
  14. Copy, modify, reverse engineer, create derivative works or in any other way make any unauthorised use of the Intellectual Property of TradeMalta;
  15. To interfere with or circumvent the security features of the Website; and
  16. Use the Website in any manner that violates these Terms of Use.
Security

You are solely responsible for any activities and actions taken upon accessing this Website. Should you suspect any misuse, you are to inform us immediately by sending an email to info@trademalta.org. Additionally, should you be concerned that this Website’s security has been in any way compromised, you are to immediately contact Us as well, so that We may verify whether it has been breached in some way.

Should you commit any misuse or other unlawful actions through or on this Website, We reserve the right to block your access to this Website.

Intellectual Property

For the purposes of this section ‘Intellectual Property’ shall include, without limitation, and whether registered, unregistered or registerable in Malta or elsewhere, any trademark, tradename, logo, design, mark, industrial design, copyright or copyrightable material, patent, internet domain name, website address, mask work, trade secret, knowhow, technical data, market data, method or specification.

Any and all Intellectual Property related in any manner whatsoever to the Website, is the sole and exclusive property of TradeMalta and is subject to protection under the applicable law.

The user is prohibited from reproducing, modifying, reselling, republishing, retransmitting, copying, editing, amending, displaying, adapting, sub-licensing, emulating, reverse-engineering, decompiling, disassembling, combining, processing, encoding, translating, selling or in any other way use the Intellectual Property of TradeMalta, without TradeMalta’s express written consent.,

Since one of the purposes of the Website is to promote Malta-based companies abroad, TradeMalta may accept requests to reproduce data from the Website, subject to the conditions imposed by TradeMalta, including that the material does not infringe on the rights or privacy of third parties. Users wishing to disseminate content from this Website are therefore encouraged to contact TradeMalta to request authorisation.

Where the material is used, the source and copyright status must be acknowledged, for example © TradeMalta copyright.

The Intellectual Property of TradeMalta shall not be used on any site, or by third parties, or for any other promotional purposes, without the prior permission of TradeMalta. TradeMalta’s name or weblink cannot be presented on any site or on any other promotional material in any context that implies that TradeMalta is associated with or endorses any site or product, unless this is done upon prior express written approval given by TradeMalta.

Although We do our utmost to maintain the Website as fault free as possible, no guarantees can be made concerning accuracy of the information within or accessible through the Website.

TradeMalta may provide links, reference information from other websites, and information about companies who qualified as finalists or winners in the MIBA. Whilst TradeMalta will do its utmost to ensure that the companies listed within, along with any other links or information listed in connection with such company’s website,  are reputable and safe, TradeMalta, and any other third parties providing information which is then listed within the Website, shall not be responsible nor held liable for the information, products or services which have been obtained by you or any other party, or for damages which may result from accessing or utilizing any such information provided on the Website and other websites it may link or reference.

When you choose to follow a link to an external website, you are leaving the Website covered by these Terms of Use and are subject to the cookies, terms of use and privacy policy/ies of such external website/s.

Inclusion of a linked website/s does not necessarily imply an approval or endorsement. Should an affiliation exist, TradeMalta nonetheless assumes no responsibility for the actions of third parties, which TradeMalta does not operate or control.

Indemnity

To the maximum permitted by law you agree to indemnify, defend and hold harmless the Company, its officers, directors, shareholders, employees, agents, licensors, suppliers and any third-party information providers to the Website from and against any loss, liabilities, expenses, damages and costs, including legal fees, resulting from any breach of these Terms of Use (including negligent or wrongful conduct).

Third Party Content

In using Our Website, you may view content and information provided by third parties, including links to webpages pertaining to such third parties (the “Third-Party Content”). We do not control, endorse or adopt any Third-Party Content and shall have no responsibility for Third-Party Content, including, without limitation, material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable. In addition, your business dealings or correspondence with any such third parties are solely between you and said third parties. We are not responsible for any loss or damage of any kind incurred as a result of any such dealings, and you understand that your use of Third-Party Content and your interactions with such third parties are at your own risk.

Liability

To the extent allowed by law, We shall not be liable, in any event, for any direct, indirect or consequential damages, losses or liabilities whatsoever incurred or suffered by you or any third party, including, without limitation, damages for loss of profit, loss of information, business interruption, or loss of revenue or goodwill, as a result of or in connection with any of the following:

  1. Any information received from you and that contain incorrect, missing or improperly formatted information; and, or
  2. Statement, claims or conduct of Third-Party Content, third-party websites, third parties or companies that are publicised or have previously been publicised on this Website; and, orAny instance of force majeure, other unforeseen circumstances or circumstances outside of Our control preventing the proper performance of the Website, such as but not limited to; downtime of the Website or reduced service availability, any interruption or failure of service as well as, generally, any disruptions brought about as a result of technological failings, including any such failings arising from the use of the internet and its associated risks.
Force Majeure

Force Majeure” shall mean any unforeseen circumstance including, without limitation:

(i) acts of God, flood, drought, earthquake or other natural disaster;

(ii) epidemics or pandemics;

(iii) terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations;

(iv) nuclear, chemical or biological contamination, or sonic boom;

(v) any order, law or any action taken by a government or public authority, including without limitation imposing an export or import restriction, quota or prohibition, or failing to grant a necessary license or consent;

(vi) collapse of buildings, fire explosion or accident;

(vii) any labour or trade dispute, strikes, industrial action or lockouts;

(viii) non-performance by suppliers or subcontractors;

(ix) interruption or failure of utility service;

(x) theft;

(xi) hacking attacks;

(xii) mechanical or systems failures; and

(xiii) downtime of the Website or reduced service availability of the same.

 Site Availability

 Although we do our utmost to maintain the Website as fault free as possible, no guarantee can be provided as to its continued use and availability. Should any error or fault occur, kindly contact us by sending an email to info@trademalta.org. Furthermore, we reserve the right to restrict your access to the Website due to maintenance or repair procedures, uploads and updates.

Amendments

We additionally reserve the right to make any changes to these Terms of Use at any given time without incurring any liability towards you or any third party. Any such updated Terms of Use shall become immediately applicable and enforceable upon publication on the Website and shall supersede any previously published Terms of Use. Should We be required by law to obtain your consent or provide you with prior notice in respect of any such changes, We shall do so.

Waiver

No exercise or failure to exercise or delay in exercising any right or remedy available to TradeMalta under these Terms of Use will constitute a waiver by TradeMalta of that or any other right or remedy available to it.

Severability

In the event that any provision, or part thereof, of these Terms of Use is found by a competent adjudicatory body or court of law to be invalid, unlawful or unenforceable to any extent, then such provision, or part thereof, shall be severed from the remainder of these Terms of Use, which shall continue to be valid and enforceable to the fullest extent permitted by law.

Governing Law and Jurisdiction

These Terms of Use shall be governed by the Laws of Malta. Any disputes which may arise between yourself and TradeMalta in relation to these Terms of Use shall be subject to the exclusive jurisdiction of the Maltese Courts.

Data Protection

 You acknowledge that We may process personal data in relation to you (if you are an individual) and personal data that you may provide to Us in relation to your employees or associates or other individuals (if you are a legal person, such as a company) in connection with these Terms of Use and your use of the Website, or any of TradeMalta’s Services.

We shall process this personal data in strict compliance with all data protection and data privacy laws, particularly Regulation (EU) 2016/679 (the General Data Protection Regulation), and in accordance with Our Privacy Policy.

Information about the listing of companies within the Website

Any decision concerning the granting of awards and publicisation of the finalists and winners on this Website lies solely with TradeMalta, including the manner of their execution. The possibility of being advertised on such website cannot be construed as a right to such advertisement.

Any decision as to the promotion of companies and manner in which such promotion is made on this Website rests solely with TradeMalta.

 TradeMalta will be under no obligation to keep any information provided listed on this Website should it determine that any falsehoods have been submitted in any information provided to TradeMalta. Any choice to edit, change, keep or remove any information on the Website lies solely with TradeMalta.
